Acceptance of Terms

These Terms of Service govern access to and use of SOPSai, provided by [LEGAL_ENTITY_NAME]. By creating an account, accessing a workspace, or using SOPSai, you agree to these Terms.

If you use SOPSai on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

Description of Service

SOPSai is a software service for creating, organizing, editing, and managing standard operating procedures and related workflow documentation.

The service may include manual SOP creation, AI-assisted drafting, departments, version history, search, and export functionality.

Account Registration

You must provide accurate account information and keep your login credentials secure. You are responsible for activity under your account and for promptly notifying SOPSai of unauthorized access.

Workspaces and Authorized Users

SOPSai organizes customer content into workspaces. Workspace owners and administrators are responsible for managing authorized users, permissions, and content shared within a workspace.

You may invite or allow access only for users who are authorized by your organization and permitted to use the service under these Terms.

Customer Content Ownership

Customer owns customer content, including SOPs, notes, transcripts, tags, departments, and other materials uploaded to or created in SOPSai.

SOPSai does not claim ownership of customer content.

License Needed to Provide the Service

Customer grants SOPSai a limited, non-exclusive license to host, process, transmit, display, copy, and otherwise use customer content only as needed to provide, secure, maintain, support, and improve the service.

This license ends when the content is deleted from SOPSai, subject to backup, legal, security, and operational retention needs.

AI Features and Output

AI features may generate SOP drafts from notes, transcripts, prompts, and other customer-provided context. AI output is a draft and must be reviewed by the customer before use.

Customer is responsible for determining whether AI output is accurate, complete, compliant, and suitable for the customer's business, industry, and use case.

SOPSai does not guarantee that AI output will be error-free or satisfy legal, HR, safety, medical, financial, regulatory, or operational requirements.

Customer Responsibilities

  • Use SOPSai only for lawful purposes.
  • Review SOPs and AI output before relying on them.
  • Maintain appropriate user access controls inside each workspace.
  • Avoid uploading unlawful, highly sensitive, regulated, or third-party confidential data unless authorized and permitted by your agreement with SOPSai.
  • Ensure SOPs match your organization's policies, procedures, legal obligations, and operational needs.

Acceptable Use

You may not misuse SOPSai, interfere with the service, attempt unauthorized access, upload malicious code, violate others' rights, or use the service to create or distribute unlawful, harmful, deceptive, or abusive content.

Subscription Plans, Free Plans, and Billing

SOPSai may offer free, beta, paid, or trial plans. Plan limits, pricing, and features may change over time.

Billing features are not guaranteed to be available during private beta. When paid plans are enabled, additional payment terms may apply.

Beta Features

SOPSai may provide beta or pre-release features. Beta features may be incomplete, change without notice, contain errors, or be discontinued.

Free and beta features can change as the product evolves.

Data Export and Deletion

SOPSai may provide export and deletion tools in the product, and additional controls may be added over time. You may also contact [SUPPORT_OR_PRIVACY_EMAIL] for reasonable export or deletion requests.

Deletion may be limited by legal obligations, security needs, backup retention, billing records, or dispute-resolution requirements.

Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only for purposes related to the service or the parties' relationship.

Third-Party Services

SOPSai may rely on third-party services for hosting, authentication, database infrastructure, AI processing, analytics, support, or payments. Third-party services may have their own terms and privacy practices.

Disclaimers

SOPSai is provided on an as-is and as-available basis to the maximum extent permitted by law. SOPSai disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

SOPSai does not provide legal, HR, safety, medical, financial, compliance, or professional advice.

Limitation of Liability

To the maximum extent permitted by law, SOPSai and [LEGAL_ENTITY_NAME] will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.

Any aggregate liability will be limited as set out in the applicable agreement or, if no separate agreement applies, to the amount paid to SOPSai for the service during the period permitted by applicable law.

Indemnification

Customer will defend and indemnify SOPSai and [LEGAL_ENTITY_NAME] from claims arising out of customer content, misuse of the service, violation of these Terms, or violation of applicable law or third-party rights.

Suspension and Termination

SOPSai may suspend or terminate access if we reasonably believe an account or workspace violates these Terms, creates security risk, causes harm, or is used unlawfully.

You may stop using SOPSai at any time and may request account deletion or data export as described in the Privacy Policy.

Changes to Terms

SOPSai may update these Terms as the service changes. Updated Terms will be posted with a new effective date, and material changes may be communicated through the service or by email when appropriate.
